SimplyChems LLC – Research Use Acknowledgment & Informed Consent Agreement

By purchasing, receiving, handling, possessing, or using any product from SimplyChems LLC (“SimplyChems,” “Company”), the purchaser and/or any person acting on the purchaser’s behalf (“Customer”) acknowledges, understands, and agrees to the terms below. Acceptance of this Agreement is required to complete checkout and applies to each transaction governed by the version presented at the time of purchase.

1) Research Use Only — No Human or Animal Use

All products sold by SimplyChems (“MATERIAL”) are intended strictly for laboratory, analytical, and scientific research performed by qualified professionals in controlled laboratory settings.

MATERIAL is not for, and Customer agrees it will not be used for, any of the following:

  • Human consumption or use

  • Animal consumption or use

  • Medical, therapeutic, diagnostic, clinical, or veterinary applications

  • Bodybuilding, performance enhancement, supplementation, or cosmetic use

  • Ingestion, injection, inhalation, topical application, or any use involving administration to living organisms

  • Any human or animal testing, clinical studies, or experiments involving living organisms

SimplyChems does not provide instructions, dosing guidance, or recommendations for any use other than lawful laboratory research. Customer assumes full responsibility for ensuring MATERIAL is used only in compliance with these restrictions.

2) Customer Qualifications; Age Requirement; Compliance With Law

Customer represents and warrants that:

  • Customer is 21 years of age or older;

  • Customer is a qualified professional (or is acting under the supervision of qualified personnel) with appropriate laboratory training;

  • Customer is legally permitted to purchase, possess, handle, and use MATERIAL for lawful research purposes in Customer’s jurisdiction; and

  • Customer will comply with all applicable federal, state, and local laws and regulations (including chemical safety, hazardous materials handling, and applicable research compliance requirements).

SimplyChems reserves the right, in its sole discretion, to refuse or cancel any order, request verification or documentation, limit quantities, and restrict shipping destinations.

3) Hazards; Safe Handling; Customer Responsibility

Customer acknowledges that laboratory research materials may present inherent hazards and must be handled using appropriate safety procedures.

Customer agrees to:

  • Follow proper laboratory safety protocols and applicable standard operating procedures

  • Use appropriate PPE, engineering controls, and containment

  • Store, handle, transport, and dispose of MATERIAL safely and legally

  • Prevent exposure to Customer or others, and prevent environmental release

  • Ensure any personnel handling MATERIAL are appropriately trained and informed

Customer assumes full responsibility for all risks, injuries, damages, losses, or legal consequences arising from Customer’s possession, handling, storage, transfer, use, or disposal of MATERIAL.

4) No Medical, Therapeutic, or Performance Claims

SimplyChems makes no medical, therapeutic, diagnostic, or performance claims regarding any MATERIAL and does not market products for human or animal use.

Any attempted use outside “research only” violates this Agreement and is solely Customer’s responsibility.

5) Product Variability; Testing Responsibility; No Reliance

Customer acknowledges that research materials may vary between lots and that appearance, solubility, and analytical results may differ.

Customer understands and agrees that:

  • Customer is solely responsible for determining suitability of any MATERIAL for Customer’s intended lawful research use

  • Customer is responsible for conducting any verification testing Customer deems necessary (e.g., COA review and/or analytical testing) prior to use in Customer’s research

  • Customer will not rely on the Website or Company communications as instructions or guidance for any prohibited use

6) No Warranties — AS-IS

ALL MATERIAL IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, SimplyChems disclaims all warranties, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy, completeness, or reliability of information or results

  • Identity, purity, potency, stability, shelf life, or suitability for any particular application

7) Assumption of Risk; Indemnification

Customer assumes all risks related to possession, handling, storage, use, transfer, and disposal of MATERIAL.

Customer agrees to indemnify, defend, and hold harmless SimplyChems LLC and its owners, officers, employees, contractors, suppliers, and affiliates from any and all claims, liabilities, damages, injuries, losses, penalties, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Any use or handling of MATERIAL by Customer or any third party

  • Any use outside “research only,” including prohibited use

  • Customer negligence, misconduct, or violation of law

  • Unauthorized transfer, resale, repackaging, relabeling, or distribution

  • Accidental or intentional exposure, release, or contamination events attributable to Customer’s acts or omissions

This indemnification obligation survives completion of the transaction and any termination of Customer’s relationship with SimplyChems.

8) Limitation of Liability

To the fullest extent permitted by law:

  • SimplyChems shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages (including loss of research, loss of data, loss of profits, or research failure).

  • SimplyChems’ total liability for any claim shall not exceed the amount paid by Customer for the specific MATERIAL giving rise to the claim.

Customer’s sole and exclusive remedy is to discontinue purchasing from SimplyChems.

9) All Sales Final; No Returns; Limited Exception Handling

Due to the sensitive nature of laboratory research materials and chain-of-custody considerations:

  • All sales are final.

  • No returns are accepted.

  • No monetary refunds are issued, except where required by applicable law.

Limited Exceptions (Replacement or Store Credit Only): If an item arrives damaged in transit, incorrect, or missing from the package, Customer must follow the Company’s Shipping, Delivery & Returns/Refund Policy within the stated time window (including required documentation). Upon verification, SimplyChems may, at its discretion, provide a replacement or store credit consistent with that Policy.

This section is intended to be read consistently with the Shipping, Delivery & Returns/Refund Policy, which is incorporated by reference.

10) Dispute Resolution; Arbitration; Class Action Waiver

Governing Law: This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Arbitration: Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to this Agreement, any purchase, or any MATERIAL (including statutory claims) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.

Location: Arbitration shall take place in Reeves County, Texas, unless the parties agree otherwise or the arbitrator determines a different location or remote format is appropriate.

Individual Claims Only / Class Action Waiver: Customer agrees to bring claims only in Customer’s individual capacity and waives any right to participate in a class action, collective action, or representative proceeding.

Jury Trial Waiver: Customer waives any right to a jury trial.

If any portion of this arbitration section is found unenforceable, the remainder shall be enforced to the maximum extent permitted by law.

11) Customer Certification & Acceptance

By completing checkout and purchasing from SimplyChems, Customer certifies that Customer:

  • Has read, understands, and agrees to this Agreement

  • Is 21 years of age or older

  • Is legally permitted to purchase and possess MATERIAL for lawful research purposes

  • Accepts full responsibility for safe handling, storage, use, transfer, and disposal

  • Understands MATERIAL is research-use only and not for any human or animal use
