TERMS AND CONDITIONS

These Terms and Conditions (“Agreement”) govern all access to and purchases from SimplyChems LLC (“SimplyChems,” “Company,” “we,” “us,” “our”) through https://simplychems.com (“Website”).

By checking the required acceptance box at checkout (clickwrap) and/or placing an order, you (“Buyer,” “Customer”) agree to be legally bound by this Agreement and all policies incorporated by reference.

1. Definitions

“MATERIAL” means any product or item sold or provided by SimplyChems, including but not limited to peptides, proteins, liquids, powders, chemicals, labware, and related supplies.

“Website” means simplychems.com and any subpages, checkout, and account areas.


2. Research Use Only — No Human or Animal Use

All MATERIAL is sold strictly for laboratory research, analytical, and scientific purposes only.

MATERIAL is NOT for:

  • Human consumption or use

  • Animal consumption or use

  • Clinical, therapeutic, diagnostic, or veterinary use

  • Bodybuilding, performance enhancement, supplementation, or cosmetic use

  • Any application involving administration to living organisms

Buyer represents and warrants that MATERIAL will not be used in or on humans or animals under any circumstances.


3. Regulatory Disclosures

Statements on this Website have not been evaluated by the U.S. Food and Drug Administration (FDA).

MATERIAL is not intended to diagnose, treat, cure, or prevent any disease.

SimplyChems is a chemical supplier and is not:

  • a compounding pharmacy under FD&C Act 503A, or

  • an outsourcing facility under FD&C Act 503B.


4. Eligibility; Buyer Qualifications; Right to Refuse Service

Buyer represents and warrants that:

  • Buyer is at least 21 years of age.

  • Buyer is a qualified professional with appropriate laboratory training.

  • Buyer understands proper handling, storage, and disposal requirements.

  • Buyer will comply with all applicable laws and regulations.

SimplyChems reserves the right to refuse service, cancel orders, limit quantities, suspend accounts, or request verification at its sole discretion.


5. Assumption of Risk

Buyer acknowledges MATERIAL may present hazards.

Buyer represents and warrants they are fully knowledgeable about:

  • Health and safety hazards associated with handling MATERIAL

  • Industrial hygiene controls required to protect personnel

  • Proper warning and labeling practices

  • Applicable laws and regulations regarding use and exposure

Buyer assumes full responsibility for safe handling, storage, use, and disposal.


6. No Warranties (AS-IS)

ALL MATERIAL IS PROVIDED “AS IS” AND “AS AVAILABLE.”

To the fullest extent permitted by law, SimplyChems disclaims all warranties, express or implied, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy, completeness, or reliability of results

Buyer assumes all risk regarding use and results.


7. Limitation of Liability

To the fullest extent permitted by law:

  • SimplyChems will not be liable for any indirect, incidental, special, punitive, or consequential damages.

  • SimplyChems’ total liability for any claim will not exceed the amount paid by Buyer for the specific MATERIAL giving rise to the claim.


8. Indemnification

Buyer agrees to indemnify, defend, and hold harmless SimplyChems and its owners, officers, employees, and affiliates from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising from:

  • Buyer’s handling, storage, use, or disposal of MATERIAL

  • Buyer’s violation of this Agreement or any policy

  • Buyer’s violation of any law or third-party rights

This obligation survives termination of this Agreement.


9. Compliance With Laws; Export; TSCA

Buyer is solely responsible for ensuring purchase, possession, handling, use, and disposal of MATERIAL complies with all applicable laws and regulations, including but not limited to:

  • Federal, state, and local laws

  • Export controls and sanctions requirements (including where applicable EAR/OFAC)

  • TSCA requirements where applicable

SimplyChems makes no representation that any MATERIAL is approved for any specific application or jurisdiction.


10. No Resale / No Redistribution Without Written Approval

Unless expressly authorized in writing by SimplyChems, Buyer may not:

  • Repackage

  • Relabel

  • Resell

  • Redistribute

  • Transfer to third parties

Any request for redistribution must be submitted in writing and may be approved or denied at SimplyChems’ discretion.


11. Payment Disputes; Chargebacks; Records

SimplyChems maintains transaction and fulfillment records, which may include:

  • Timestamped clickwrap acceptance of terms and policies

  • IP address and timestamps

  • Billing and risk verification indicators

  • Shipment tracking and delivery confirmation

Buyer agrees to contact SimplyChems first for any shipping or billing issue and provide a reasonable opportunity to resolve the issue before initiating a payment dispute.

Buyer acknowledges SimplyChems may submit relevant records and communications to payment processors, carriers, and issuing banks to respond to disputes.


12. Shipping, Delivery & Returns/Refund Policy

All purchases are governed by the Shipping, Delivery & Returns/Refund Policy, which is incorporated by reference and forms part of this Agreement.


13. Intellectual Property

All Website content, including text, graphics, logos, icons, and images, is the property of SimplyChems or its licensors and is protected by intellectual property laws.

Unauthorized copying, reproduction, modification, distribution, or use is prohibited.


14. Electronic Contracting; Clickwrap Acceptance

Buyer agrees this Agreement and related policies may be accepted electronically.

By checking the required box at checkout, Buyer consents to electronic contracting and acknowledges acceptance is legally binding.

SimplyChems may retain records of acceptance (including time, date, and policy version) for compliance and dispute purposes.


15. Governing Law; Venue

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Exclusive venue for disputes shall be the state or federal courts located in Reeves County, Texas, unless prohibited by applicable law.


16. Severability; Entire Agreement; Updates

If any provision is held unenforceable, the remainder remains in effect.

This Agreement constitutes the entire agreement between Buyer and SimplyChems regarding the subject matter.

SimplyChems may update these Terms from time to time. The version in effect at the time of purchase governs that transaction unless required otherwise by law.
